Affiliate Marketing Agreement, FTC Compliance & NDA This Affiliate Marketing Agreement (“Agreement”) is made between Note360 LLC (“Company”) and the affiliate (“Affiliate”). 1. Enrollment & Eligibility Affiliate enrolls by completing the application and agrees to these terms. Affiliate represents and warrants that they: Are legally authorized to work and reside in the United States; Are an independent contractor, not an employee or agent of the Company; Will comply with all applicable laws and regulations. 2. Commission & Payment Terms The affiliate will earn a 10% recurring monthly commission on all qualifying subscriptions. Once an affiliate reaches 100 or more active subscribers, their commission rate will increase to 15% recurring monthly for all subscriptions. Commissions are paid monthly, within 30 days after the end of each month. The minimum payout threshold is $300. Commissions will accumulate until this amount is reached before payment is issued. The Company reserves the right to withhold commissions in cases of suspected fraud, chargebacks, or breach of this Agreement. 3. Affiliate Obligations & Conduct Affiliate will promote Company products ethically, legally, and in compliance with FTC guidelines (see Section 4). No spamming, false claims, or unauthorized trademark usage allowed. Affiliate must disclose their affiliate relationship in all promotions using language such as: “I may earn a commission if you purchase through my link.” “This post contains affiliate links. I earn a commission at no extra cost to you.” 4. FTC Compliance & Disclosure Affiliate agrees to comply fully with FTC regulations regarding endorsements and affiliate marketing, including: Making clear and conspicuous disclosures of affiliate relationships in all marketing content. Placing disclosures near affiliate links or calls to action. Being truthful and transparent in all promotional activities. 5. Intellectual Property License Company grants Affiliate a limited, non-exclusive, revocable license to use approved marketing materials and trademarks solely for promoting the Company’s products. Affiliate agrees not to alter, misuse, or infringe on Company trademarks or copyrighted materials. 6. Confidentiality & Non-Disclosure Affiliate may receive confidential information about Company products, strategies, customers, or pricing (“Confidential Information”). Affiliate agrees to keep all Confidential Information strictly confidential and not disclose it to third parties without the Company’s prior written consent. This obligation continues after the termination of this Agreement. Exceptions apply for information that is public or required by law to be disclosed. 7. Term & Termination Either party may terminate this Agreement at any time with written notice. Upon termination, Affiliate will receive commissions for valid referrals made before termination. 8. Limitation of Liability The company is not liable for indirect, incidental, or consequential damages arising from this Agreement. 9. Governing Law This Agreement shall be governed by and construed by the laws of the State of Texas, United States of America, without regard to its conflict of law principles. 10. Dispute Resolution In the event of any dispute, claim, or controversy arising out of or relating to this Agreement, the parties agree to first attempt to resolve the matter through good faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), and the arbitration shall be conducted in Plano, Texas. Each party will bear its legal costs, and the decision of the arbitrator shall be final and enforceable in any court of competent jurisdiction. By enrolling in the affiliate program, Affiliate acknowledges and agrees to all terms in this Agreement, confirms they are legally authorized to work in the U.S., and accepts their role as an independent contractor.
