NON-DISCLOSURE AGREEMENT

 Between: AI Note360, LLC (“Company”) and Healthcare Provider (“User”)

1. CONFIDENTIAL INFORMATION

User acknowledges that participation in the AI Note360 Beta Program provides access to:

  • Proprietary AI audit algorithms and documentation analysis systems
  • Beta software features and functionality
  • Performance data and system capabilities
  • Technical specifications and methodologies
2. NON-DISCLOSURE OBLIGATIONS

User agrees to:

  • Keep all beta features and AI audit capabilities strictly confidential
  • Do not disclose, share, or discuss the system with third parties
  • Use confidential information solely for beta testing purposes
  • Return or destroy all confidential materials upon program termination
3. NON-COMPETE RESTRICTIONS

During beta participation and for 12 months thereafter, User will not:

  • Develop competing AI documentation audit systems
  • Share insights with competitors or similar service providers
  • Use learned methodologies to create competing products
BETA USE TERMS AND CONDITIONS
4. BETA PROGRAM PURPOSE

AI Note360’s proprietary AI Audit System is designed to:

  • Analyze healthcare documentation for completeness and accuracy
  • Identify potential denial, delay, and recoupment risks
  • Strengthen documentation before insurance submission
  • Improve reimbursement outcomes through enhanced documentation quality
5. BETA LIMITATIONS & DISCLAIMERS

User acknowledges:

  • This is BETA software with potential bugs and limitations
  • AI recommendations are supplemental to professional clinical judgment
  • Final documentation responsibility remains with the healthcare provider
  • No guarantee of insurance approval or reimbursement outcomes
  • The system may have intermittent availability during the beta phase
6. PERMITTED USE

User may:

  • Test the AI audit system on their clinical documentation
  • Provide feedback on system performance and usability
  • Use AI recommendations to improve documentation quality
  • Access training materials and support resources
7. PROHIBITED USES

User shall NOT:

  • Use the system for final clinical decision-making
  • Share login credentials with unauthorized personnel
  • Attempt to reverse-engineer or extract proprietary algorithms
  • Use the system beyond the agreed beta testing scope
  • Store or process protected health information without proper safeguards
8. DATA HANDLING & HIPAA COMPLIANCE
  • All patient data remains the User’s responsibility under HIPAA
  • The company implements appropriate technical safeguards
  • Data processing occurs within a HIPAA-compliant infrastructure
  • User must obtain necessary patient consents for AI analysis
  • De-identification protocols apply where required
9. INTELLECTUAL PROPERTY
  • AI Note360 retains all rights to proprietary AI algorithms
  • User feedback may be incorporated into system improvements
  • No transfer of intellectual property rights to User
  • User retains rights to their original clinical documentation
10. LIABILITY LIMITATIONS

The company’s liability is limited to:

  • Maximum of $1,000 per incident
  • Direct damages only (no consequential damages)
  • User assumes responsibility for clinical documentation decisions
  • No liability for insurance denials or recoupments
11. BETA PROGRAM TERMINATION

Either party may terminate by providing 30 days’ written notice. Upon termination:

  • User access is immediately revoked
  • All confidential information must be returned
  • Non-disclosure obligations continue indefinitely
  • User may retain improved documentation created with system assistance
12. SUPPORT & FEEDBACK

The company provides:

  • Technical support during business hours
  • Training materials and user guides
  • Regular system updates and improvements
  • Feedback collection and response mechanisms
13. GOVERNING LAW

This agreement is governed by the laws of the State of Texas, with disputes to be resolved through binding arbitration.

ACCEPTANCE

By accessing the AI Note360 Beta Program, the user acknowledges:

  • Reading and understanding these terms
  • Agreement to all confidentiality and use restrictions
  • Commitment to responsible beta testing participation
  • Understanding of system limitations and disclaimers

This agreement becomes effective upon the User’s first system access and remains in effect throughout beta participation and thereafter as specified.
